The AiSAL platform, available through aisal.ai, is operated by AFG Innovations Group L.L.C ("AFG", "we", "us", or "our").

These Terms of Service ("Terms") govern access to and use of the AiSAL platform, website, avatars, embeddable widgets, APIs, integrations and related services (collectively, the "Service").

By creating an account, subscribing to, accessing, embedding, integrating or otherwise using the Service, you ("you" or the "Client") agree to these Terms. If you are acting on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

1. The Service

AiSAL is an AI-powered bilingual Arabic and English avatar and conversational-engagement platform designed to enable businesses and organisations to interact with website visitors, provide information, answer questions, facilitate engagement and capture leads.

The Service may include artificial intelligence, generative AI, avatars, integrations, APIs, analytics and other technologies that evolve over time.

AFG may develop, modify, enhance, replace, restrict or discontinue features, functionality, integrations, AI models, plans or usage limits as the Service evolves. Nothing in these Terms obligates AFG to maintain any particular feature, functionality, integration, AI model or third-party provider.

Access to some features, plans or versions of the Service may be subject to invitation, eligibility requirements, verification, subscription limits or other conditions determined by AFG.

2. Eligibility & Accounts

You must:

You are responsible for your authorised users and for activity occurring through your account, except to the extent caused directly by AFG.

You must promptly notify AFG if you become aware of unauthorised access to your account.

AFG may refuse registration or restrict, suspend or revoke access where reasonably necessary to protect the Service, AFG, its users or third parties, or where these Terms have been breached.

3. Acceptable Use

You may not use the Service:

  1. for unlawful, fraudulent, deceptive or abusive purposes;
  2. in a manner that infringes intellectual property, privacy, confidentiality or other rights of another person;
  3. to upload or distribute unlawful, infringing, malicious or intentionally misleading material;
  4. to interfere with, damage, overload or compromise the Service or its infrastructure;
  5. to gain or attempt to gain unauthorised access to systems, accounts, data or networks;
  6. to reverse-engineer, decompile, extract, copy or attempt to discover source code, models, algorithms, system prompts, security mechanisms or proprietary components of the Service except where such restriction is prohibited by applicable law;
  7. to systematically scrape, harvest or extract information from the Service except through functionality expressly provided by AFG;
  8. to resell, sublicense, white-label or commercially redistribute the Service unless expressly authorised by AFG; or
  9. to use the Service to provide regulated medical, legal, financial or other professional services without the licences, permissions, disclosures and safeguards required by applicable law.

AFG may implement reasonable technical measures and usage controls to prevent abuse, excessive usage, security risks or activity inconsistent with these Terms.

4. Client Content & Knowledge Base

You retain ownership of information, documents, trademarks, materials and other content that you lawfully provide to the Service ("Client Content").

You grant AFG and its service providers a worldwide, non-exclusive licence to host, reproduce, transmit, process, format and otherwise use Client Content to the extent reasonably necessary to provide, operate, secure and support the Service.

You are responsible for Client Content and represent that you have the rights, permissions and consents necessary to provide and use it through the Service.

You are responsible for determining what information and instructions are supplied to your avatar and for the products, services, representations and business information communicated through your deployment of AiSAL.

Where your implementation of AiSAL collects or processes information from visitors, customers or other individuals, you are responsible for providing notices and obtaining permissions or consents required for your use of the Service under applicable law.

AFG does not independently verify the accuracy, completeness or legality of Client Content.

5. Artificial Intelligence

AiSAL uses artificial intelligence and automated technologies. AI-generated responses may occasionally be inaccurate, incomplete, outdated, unexpected or unsuitable for a particular purpose.

AI-generated information should therefore not be treated as a substitute for professional judgement where professional advice is required.

You remain responsible for determining whether outputs are appropriate for your intended use and for how your AiSAL implementation represents your organisation.

AFG does not guarantee any particular response, result, accuracy level, conversion rate, commercial outcome or visitor behaviour.

The Service may include beta, preview, experimental or evolving AI functionality. Such functionality may change, improve, behave differently or be withdrawn as the Service develops.

AFG does not commit to maintaining any particular AI model, provider, avatar capability, integration or underlying technology.

6. Fees, Billing & Payment

AiSAL may offer free and paid plans.

Paid plans are charged in Qatari Riyals (QR) at the applicable price displayed when purchasing the Service, unless otherwise agreed in writing.

Subscriptions may be offered monthly, annually or on another billing basis specified at purchase. Where an annual-plan discount is offered, the applicable discount will be displayed at the time of purchase.

Payments may be processed through third-party payment providers. By purchasing a recurring subscription, you authorise the applicable recurring charges until cancellation.

Subscriptions automatically renew at the end of the applicable billing period unless cancelled before renewal.

You may cancel a subscription at any time. Cancellation prevents subsequent renewal and ordinarily takes effect at the end of the current paid subscription period.

AFG may change plans, pricing, included usage, discounts and commercial terms from time to time. Unless otherwise stated, pricing changes apply to subsequent subscription periods and do not retroactively alter a period already paid for.

AFG may introduce additional paid features, usage-based services or optional services without requiring existing Clients to purchase them.

7. Refunds & Cancellation

Except where otherwise required by applicable law, subscription fees are non-refundable once the relevant paid Service has been activated.

Because access, infrastructure and AI processing capacity may be provisioned upon activation, refunds are not provided for partial subscription periods, unused conversations, unused capacity, downgrades or a Client's decision to stop using the Service during an already-paid period.

Cancellation prevents future renewal but does not ordinarily entitle the Client to reimbursement of amounts already paid.

Any free tier or trial made available by AFG provides an opportunity to evaluate the Service before purchasing a paid subscription.

8. Taxes

Prices are exclusive of taxes, duties, levies or governmental charges unless expressly stated otherwise.

You are responsible for taxes or charges applicable to your purchase or use of the Service in your jurisdiction, except for taxes imposed directly on AFG's income.

If applicable law requires AFG or its payment provider to collect a tax or governmental charge, that amount may be added to the applicable payment.

9. Intellectual Property

AFG and its licensors retain all right, title and interest in and to the Service and all associated technology and intellectual property, including software, source code, object code, APIs, models, algorithms, systems, workflows, prompts, methodologies, avatar technology, interfaces, designs, documentation, databases, know-how, processes, improvements, modifications and derivative developments (collectively, "AFG Technology").

The AiSAL, AFG, and associated names, logos, trademarks, designs and branding are owned by AFG, its affiliates or their respective licensors.

No ownership rights in AFG Technology are transferred to the Client.

Subject to these Terms and payment of applicable fees, AFG grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service for your internal business purposes during the applicable subscription or authorised access period.

You retain ownership of your Client Content and your own trademarks and branding.

Except for Client Content and identifiable proprietary material belonging to the Client, AFG retains all rights in the technology, functionality, concepts, techniques, methods, know-how, improvements and developments arising from or relating to the operation, development and improvement of the Service.

Nothing arising from a Client's use of AiSAL gives the Client any ownership or proprietary interest in AFG Technology, including improvements or developments to the Service.

To the extent permitted by applicable law, feedback, suggestions, recommendations, feature requests or ideas voluntarily provided to AFG concerning the Service may be used by AFG without restriction, compensation or continuing obligation to the person providing them.

No licence or right is granted except as expressly stated in these Terms.

10. Service Data & Analytics

AFG may generate technical, operational, security, statistical and usage information relating to operation and use of the Service.

Subject to applicable data-protection law, AFG may use aggregated or appropriately de-identified information for legitimate purposes including operating, securing, analysing, maintaining, developing and improving the Service, measuring performance and understanding usage patterns.

Nothing in this Section transfers ownership of Client Content or the Client's trademarks to AFG.

11. Third-Party Services & Technology

The Service may rely upon or integrate with third-party technologies and providers, including AI models, cloud infrastructure, hosting services, communications systems, APIs, analytics services and payment providers.

AFG may select, replace or discontinue third-party technologies, providers, infrastructure, AI models, APIs or subprocessors as reasonably necessary to operate and develop the Service, subject to applicable law.

AFG does not control and cannot guarantee the uninterrupted availability, continued functionality or commercial terms of independent third-party services.

Changes, interruptions, restrictions or discontinuation affecting third-party services may consequently affect parts of AiSAL.

Where third-party services have their own legally applicable terms, those terms may also apply to the relevant third-party component.

12. Privacy & Data Protection

AFG's handling of personal data is described in the AiSAL Privacy Policy, which forms part of these Terms.

Each party is responsible for complying with the data-protection and privacy obligations applicable to it.

The Client is responsible for ensuring that its use and deployment of AiSAL, including its collection and use of information from website visitors and customers, complies with applicable privacy and data-protection requirements.

Where required, additional data-processing terms may apply.

13. Service Availability & Disclaimer of Warranties

AFG aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability.

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available."

AFG disclaims warranties, representations and conditions not expressly stated in these Terms, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

AFG does not warrant that:

Nothing in these Terms excludes a warranty, right or obligation that cannot lawfully be excluded.

14. Limitation of Liability

To the maximum extent permitted by applicable law, AFG, its affiliates, directors, officers, employees, contractors, licensors and suppliers will not be liable for indirect, incidental, special, exemplary, consequential or punitive damages, or for loss of profits, revenue, anticipated savings, business opportunity, goodwill, reputation or data, arising from or relating to the Service.

This applies regardless of the legal basis of the claim and, to the extent permitted by law, whether or not AFG was advised that such loss could occur.

To the maximum extent permitted by applicable law, AFG's total aggregate liability arising from or relating to the Service or these Terms will not exceed the amount actually paid by the Client to AFG for the Service during the three (3) months immediately preceding the event giving rise to the claim.

For a Client using the Service entirely without charge, AFG's liability will be limited to the minimum amount, if any, that applicable law requires and permits.

Nothing in these Terms excludes or limits liability to the extent that such liability cannot legally be excluded or limited.

15. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless AFG, its affiliates and their respective directors, officers, employees, contractors and representatives from third-party claims, liabilities, losses, damages and reasonable legal expenses arising from or relating to:

AFG will not seek indemnification under this Section to the extent a claim results directly from AFG's own conduct for which liability cannot lawfully be excluded.

16. Suspension & Termination

You may stop using the Service at any time and may cancel a paid subscription in accordance with Section 7.

AFG may suspend, restrict or terminate all or part of the Service or a Client's access where reasonably necessary for legal, regulatory, security, technical, operational or commercial reasons, including:

Where reasonably practicable and appropriate, AFG may provide an opportunity to remedy a breach before termination, but is not required to do so where immediate action is reasonably necessary.

Following termination or expiry, access to the Service may cease. AFG may delete, retain or anonymise information in accordance with its Privacy Policy, operational requirements and applicable law.

Sections which by their nature are intended to survive termination will remain effective, including provisions concerning intellectual property, payment obligations already incurred, disclaimers, limitation of liability, indemnification and governing law.

17. Changes to the Service or These Terms

AiSAL is an evolving technology platform. AFG may amend, update or replace these Terms from time to time.

The current version of the Terms will be made available through the AiSAL website or Service.

Except where notification is required by applicable law, AFG is not required to provide individual notice of changes. Clients are responsible for reviewing the current Terms periodically.

Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms.

AFG may similarly update its Service, policies, documentation, features, plans and technical requirements as the platform develops, subject to applicable law.

18. Force Majeure

AFG will not be responsible or liable for a failure, interruption or delay caused by circumstances outside its reasonable control.

These may include internet, telecommunications or infrastructure failures; cloud or hosting outages; failures or changes affecting third-party AI models, APIs or technology providers; cyberattacks or security incidents; power failures; governmental or regulatory actions; natural disasters; epidemics; labour disputes; war; terrorism; civil disturbance; sanctions; supply disruptions; or other force majeure events.

AFG may take reasonable measures to mitigate such circumstances but does not guarantee restoration within any particular period.

19. Assignment

The Client may not assign, transfer or sublicense its rights or obligations under these Terms without AFG's prior written consent.

AFG may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a restructuring, financing, merger, acquisition, investment, sale of business or assets, corporate reorganisation or similar transaction, or otherwise as permitted by applicable law.

20. Relationship of the Parties

These Terms do not create a partnership, joint venture, franchise, fiduciary relationship, employment relationship or agency between AFG and the Client.

Neither party has authority to bind the other except where expressly agreed in writing.

21. No Waiver & Severability

AFG's failure or delay in exercising a right under these Terms does not waive that right.

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible, and the remaining provisions will continue in effect.

22. Entire Agreement

These Terms, together with the AiSAL Privacy Policy, applicable subscription or order terms and any additional terms expressly agreed in writing by AFG, constitute the agreement between AFG and the Client concerning use of the Service.

They supersede prior discussions, communications or representations concerning the same subject matter, except for terms expressly incorporated into a written agreement signed or otherwise formally accepted by AFG.

23. Governing Law & Jurisdiction

These Terms and any non-contractual obligations arising from or relating to them are governed by the laws of the State of Qatar, without regard to conflict-of-laws principles.

Subject to any mandatory rights or procedures imposed by applicable law, the competent courts of the State of Qatar shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.
